OFFER AGREEMENT
for the provision of services using the bitmanager.ai platform
(revised on September 21, 2025)


1. General provisions
1.1. This document is a public offer in accordance with Article 437 of the Civil Code of the Russian Federation (hereinafter referred to as the “Offer”) and defines the terms and conditions for the provision of services by Bitmanager Limited Liability Company (Bitmanager LLC, OGRN 1257700001234, INN 3578766591, hereinafter referred to as the “Contractor”) through the online platform bitmanager.ai (hereinafter referred to as the ‘Platform’ or “Service”).
1.2. A person who accepts the terms of this Offer and registers on the website or pays for services becomes a Customer and accepts the terms of this Agreement (hereinafter referred to as the “Agreement”).
1.3. Acceptance of the Offer is recognized as registration on the website https://bitmanager.ai, filling out the feedback form, and/or payment for the Contractor's services.
From the moment of acceptance, the Agreement is considered concluded in writing (Articles 434, 438 of the Civil Code of the Russian Federation).


2. Subject matter of the Agreement
2.1. The Contractor undertakes to provide the Customer with access to the functionality of the BitManager.ai Platform and related services, and the Customer undertakes to use the Service in accordance with the terms of this Agreement.
2.2. The specific list of services, their scope, functional limitations, and rates are determined on the website https://bitmanager.ai and/or in the Customer's personal account.
2.3. Services are provided remotely, using the Internet.
2.4. Pilot period.
The Contractor provides new Customers with free access to the Platform's functionality for a period of 30 (thirty) calendar days from the date of registration (hereinafter referred to as the “Pilot Period”).
At the end of the Pilot Period, the Customer has the right to:
  • switch to a paid plan by paying for access to the Service;
  • stop using the Platform without paying for the services.
Continued use of the Service after the end of the Pilot Period is considered acceptance of the terms of the paid plan. 


3. Rights and obligations of the parties3.1. The Contractor undertakes to:
  • provide services in accordance with the published description and rates;
  • ensure the Platform's operability, except in cases of scheduled or emergency maintenance;
  • maintain the confidentiality of information and ensure the protection of the Customer's personal data;
  • notify the Customer of any significant changes in the terms of service provision.
3.2. The Customer undertakes to:
  • provide accurate data during registration;
  • not use the Platform for purposes contrary to the legislation of the Russian Federation;
  • ensure the security of their registration data and passwords;
  • pay for services in a timely manner after the end of the Pilot Period (when switching to a paid tariff).
3.3. The Customer is prohibited from:
  • attempting to gain unauthorized access to elements of the Platform;
  • use the Service to send spam, phishing, fraudulent schemes, or violate the rights of third parties;
  • transfer their account details to third parties without the consent of the Contractor.


4. Cost and payment procedure
4.1. The cost of services is determined by the current rates published on the website https://bitmanager.ai.
4.2. Payment for services is made in advance using the available payment methods listed on the website.
4.3. Access to the Service is provided after confirmation of payment, with the exception of the Pilot Period, which is free of charge.
4.4. Refunds are only possible in cases expressly provided for by the legislation of the Russian Federation or the Refund Policy posted on the Contractor's website.


5. Procedure for providing services
5.1. Services are provided around the clock in automatic mode through the Platform's web interface.
5.2. The Contractor has the right to suspend the operation of the Platform for technical or preventive maintenance with prior notification of Customers (if possible).
5.3. During the Pilot Period, the Contractor has the right to limit the functionality of the Service or access to certain functions at its discretion.


6. Liability of the parties
6.1. The Contractor shall not be liable for any losses incurred by the Customer as a result of:
  • the Customer's violation of the terms of this Agreement;
  • malfunctions in equipment, software, or communication channels not belonging to the Contractor;
  • incorrect use of the Platform's functionality.
6.2. The Customer is responsible for the security of their account details and all actions performed under their account.
6.3. The Contractor does not guarantee the absolute uninterrupted and error-free operation of the Service, but takes all reasonable measures to ensure its stability.


7. Confidentiality and personal data
7.1. The parties undertake to maintain the confidentiality of information received during the performance of this Agreement.
7.2. The Customer's personal data is processed in accordance with the Privacy Policy published on the Contractor's website.


8. Force majeure
8.1. The parties shall be exempt from liability for partial or complete failure to fulfill their obligations under the Agreement if it was the result of circumstances of force majeure, including natural disasters, wars, acts of government agencies, communication network failures, Internet outages, and other circumstances beyond the reasonable control of the parties.


9. Changes to the terms of the offer
9.1. The Contractor has the right to change the terms of this Offer, rates, and the procedure for providing services by publishing the relevant information on the website https://bitmanager.ai.
9.2. The new version of the Offer shall come into force upon its publication, unless otherwise specified.


10. Other terms
10.1. All disputes and disagreements shall be resolved through negotiations, and if no agreement can be reached, through legal proceedings at the place of registration of the Contractor.
10.2. The relations between the parties shall be governed by the laws of the Russian Federation.
10.3. The invalidity of any provision of this Agreement shall not affect the validity of the remaining provisions.

1. Who can become a partner
  • Integrator companies, consultants, and IT companies specializing in the implementation of CRM, ERP, AI solutions, and other automation systems can become partners.

2. Registration and access
  • To participate, you must register for the affiliate program.
  • After confirmation, the affiliate gains access to a special personal account where they can:
  • manage clients and configure AI agents;
  • track client performance analytics;
  • monitor reward accruals.

3. Partner remuneration
  • The partner receives remuneration from all payments made by customers whom they have referred and whom they support.
  • Remuneration is accrued without any time limit for as long as the customer is served by the partner.

4. Use of rewards
  • All accruals are stored in the partner account and can be:
  • used to pay for Bitmanager services;
  • withdrawn to the linked payment method.
  • Exchange rate: 1 bonus = $0,01.

5. Partnership levels and remuneration amounts
  • Bronze partner – customer turnover up to $10 000/month, 10% commission.
  • Silver partner – turnover $10 000 – 50 000/month, 15% commission.
  • Gold Partner – turnover over $50 000 /month, 20% commission.
  • Individual terms are possible for partners who attract large clients.

6. Additional partner benefits
  • Dedicated support – a separate team assists partners with integration and customer service issues.
  • Marketing support – branded materials, case studies, and promotional resources are provided to facilitate sales.
  • Training and certification – partners undergo training and receive certification confirming their expertise.
  • Early access to new features – partners are the first to gain access to new platform capabilities.
  • Individual terms – personal agreements are possible for large partners.

7. Legal aspects
  • Participation is governed by a separate partnership agreement that defines the rights and obligations of the parties.
  • All customer data and commercial information are protected by confidentiality terms.
  • The program may be terminated in the event of a breach of terms or by mutual agreement of the parties.

8. Transparency of the program
  • All accruals and transactions are available in real time in the partner's personal account.
  • The terms and conditions of the program are open, transparent, and contain no hidden restrictions.
